The Bermuda Triangle Theory

The intriguing relationship between Entrepreneurs, Professional Managers and Hymie Negin

A fascinating theory guides Hymie Negin when he plunges into saving failing companies. Hymie has made a career of company turnarounds and restructuring on two continents. Some of these companies were originally managed by entrepreneurs, some by professional managers, all faced down difficulties, and many were in danger of disappearing into the nefarious “Bermuda Triangle”.

Hymie has been a director of numerous public companies listed on various stock exchanges and a senior officer of most. He has also been a director of multiple private companies in different countries.

Hymie will share some specific experiences, and explain the theory that has guided him through many turnarounds and restructurings, startups and divestitures.

This presentation will be of particular interest to Bankers, Private Equity Groups, financial advisors to new companies, and entrepreneurs.

HYMIE NEGIN
CAREER PROFILE

For thirty seven years, Hymie Negin has founded his career on operating businesses, merchant banking and corporate development. On the operational side, he has focused his activities on the creation, development, operation and turnaround of businesses. He has centered on developing growth, operational and financial strategies and ensuring their implementation. He has displayed an ability to not only develop a company, but also to establish the best time and method to realize gains for shareholders, through carefully planned divestitures, when appropriate. The merchant banking and corporate development experience has included acquisitions, mergers, investments, financings and divestitures as a principal, operator and advisor.

Included in his business activities have been thirteen corporate turnaround situations and four start-ups.  Hymie has been a director of seventeen public companies on various stock exchanges and a senior officer of most. He has also been a director of numerous private companies in different countries.  As well, he has been exposed to and transacted business in many areas of the world.

Since 1983 Hymie has managed the creation, development, operation and turnaround of businesses, as well as the provision of corporate financial advisory services. Technology, food, manufacturing, distribution and service industries are amongst the businesses he has worked with. As an illustration, in 1999 he restructured and amalgamated Interpra Medical Imaging Networks Ltd. with Merge Technologies Inc. He then was Chairman of the Executive Committee of Merge until 2002. In 1987 to 1988 he turned around Synerlogic Inc., one of Canada’s largest software consulting companies and then sold it to Andersen Consulting (Accenture). At the same time he performed corporate development work with a large Pepsi-Cola bottling company and managed its sale for a substantial gain for shareholders. Throughout his career, Hymie has been actively involved in over thirty acquisitions, divestitures and mergers. These completed transactions have taken place in Canada, United States, Japan, England, Ireland, South Africa and Zimbabwe.

Until September 1998, he was a Principal and the Operating Partner of Royal Bank of Canada’s merchant banking unit, which he joined on its inception at the beginning of 1997.  He continued to be an advisor and member of the Investment Committee of the Royal Bank’s Information Technology Venture Capital Fund until 2001.

In 1981 and 1982 he was one of five Managing Partners of The Merbanco Group, an Alberta based merchant banking group and ran the Toronto office.  They advised in mergers, acquisitions, financing and served as a corporate finance boutique.

From 1977 to 1980, Hymie was President and Chief Executive Officer of Northway Gestalt Corporation, one of the world’s most advanced and largest digital mapping companies.  He completed a major turnaround of this company and sold it to Spar Aerospace in 1980.

From 1975 to 1976, he was Executive General Manager of the Premier Group, a food processing and pharmaceutical organization with 24,000 employees.  This company was Southern Africa’s largest manufacturer, marketer and distributor of cooking oils, margarine, bread, flour, pet and animal foods.  It also had divisions which manufactured pharmaceutical products, and distributed liquor, camera and electronic consumer products.

In 1972, Hymie became Managing Director and CEO of United Refineries Ltd. one of Zimbabwe’s largest food and consumer chemical processing companies.  He revitalized this forty-year old company by introducing new technologies as well as modern marketing and management techniques.

Hymie currently sits on the advisory board of Likrilyn, a large privately owned family investment organization which incorporates real estate, innovation and energy divisions and funds (Northern Rivers).  He splits his time between Toronto, Sydney and Charlotte and enjoys playing with his three grandchildren.
